President Elect 2005Chairman, MSM Protein Technologies Inc. 97 Giles Road East kingston, NH 03827 603.772.2755 (voice) 603770.1183 (fax) cdfarmer@comcast.net I have 20 years experience in developing companies in the life sciences sector. I have served as CEO of four companies from inception through the first rounds of financing including taking one to an IPO and in all cases have been the primary business development officer of the enterprise. I have managed a small venture fund, consulted to or done deals with most of the major pharmaceutical companies and many small to mid-size biotech companies and provided technology transfer advice to a number of major research institutions. I have done deals in and have an extensive network in the US, Europe and Austral-Asia. I have served as a director on the boards of seven early stage biomedical companies. Chairman, MSM Protein Technology, Exeter, NH - Current MSM is a start-up biotechnology company with proprietary technology for the expression of multi-spanning membrane proteins for drug discovery. The original technology was developed by the founding scientist at Harvard and since been refined extensively. The company plans to enter into multiple strategic partnerships with antibody and small molecular drug discovery companies to select drug candidates against such targets as ion channels and G coupled protein receptors. CEO & Co-founder, Pacific Edge Biotechnology, Dunedin, NZ 2000- 2004 Manager, New Zealand Seed Fund, Auckland, NZ 2000 - 2004 I was the lead investor in PEBL and co-founder together with five leading scientists from the University of Otago. I identified and validated the technology, negotiated the licensing agreement with the University of Otago and made the decision to invest the seed capital on behalf of the Seed Fund. In my role as CEO I took responsibility for all aspects of the company's formation and operations including, with the Research Director, hiring of all staff and set up of the lab and offices. We took the company public on the NZE in 2004 at which we hired a full time resident CEO. I now provide business development advice to the company for transaction I initiated in Japan and the US. In my capacity as one of the two managers of the New Zealand Seed Fund I was instrumental in the formation of 3 other companies in New Zealand as well. My partner and I worked with a board comprised of three of NZ's leading businessmen and interacted heavily at the highest levels of the NZ public and private sectors including with cabinet level ministers and the heads of its three leading universities. All of the companies formed by the fund still operate, one is public and a second is in registration to go public on the Australian Stock Exchange. The Fund is now fully invested. CEO & Co-founder, Cellular Technology Limited, Cleveland, OH, 1999 - 2000 CTL is the leading producer of automated tools for measuring the T-cell response. I formed CTL with Professor Paul Lehmann, MD/PhD to commercialize technology developed by him at Case Western Reserve University and I continue to hold a sizable minority shareholding. The platform is based upon the ability to measure the output of cytokines by T cells in response to antigens and is now the gold standard for cellular immune system research and drug discovery. As acting CEO during the early period of the company's life, I worked with Dr. Lehmann to secure the intellectual property, form the company and establish a marketing collaboration with Becton Dickinson. I remain on the board and assist with major business development efforts. The Company has grown steadily and has been profitable for each of the past three years. CEO and Co-founder ObeSys Ltd, London , 1994 - 1998 ObeSys was developing antibody based products to treat obesity derived from the Hannah Research Institute in Ayr, Scotland. ObeSys technology was based upon the use of antibodies to target and destroy adipose tissues as a means to treat diseases and reduce obesity. ObeSys formed a strategic partnership with Cambridge Antibody Technology and a development collaboration with BASF/Knoll to validate the technology. The company was closed down after the technology failed in preclinical studies.
